Purchase and Participation Agreement

PURCHASE AND PARTICIPATION AGREEMENT

This Purchase and Participation Agreement (“Agreement”) is entered into by and between Bio Health Peptides & Proteins (“BHPP”) and the undersigned buyer (“Participant”) as of the date of purchase. This Agreement governs all Group Buy and Direct Purchase transactions made through BHPP’s research compound access programs. By submitting payment, the Participant affirms they are a researcher purchasing materials for lawful, non-consumptive laboratory use only and agrees to all terms and conditions set forth herein, including Appendix A, which is incorporated by reference.

1. PURPOSE & STRUCTURE

1.1 Group Buy Program – Enables Participants to collectively access research compounds at bulk pricing. Group Buy orders are subject to Minimum Order Quantities (MOQ). Products may include optional third-party testing. Promotional offers (e.g., testing included) may apply to select compounds.

1.2 Direct Buy Program – Offers individual access to research materials outside of group cycles. Testing is not included unless specifically stated.

1.3 Intermediary Role – BHPP does not manufacture, produce, or alter any materials made available through its programs. BHPP acts solely as an intermediary to facilitate access to research compounds via group purchasing arrangements and vendor partnerships.

2. LEGAL & LIABILITY WAIVER

2.1 Research Use Only – All materials are strictly intended for in vitro research use. Not for human or animal consumption. Not for diagnostic or therapeutic use.

2.2 Warranties or Guarantees – BHPP does not guarantee customs clearance, product purity, stability, sterility, or results. All materials are sourced through external vendors.

2.3 Customs Risk – International shipments may be delayed, seized, or destroyed by customs. If a shipment is seized by customs, the shipper will resend the order. The entire process takes 28 days to process the reship.

2.4 Assumption of Risk – Participant accepts full responsibility for the handling, storage, and use of any material provided. Participants agree to comply with all relevant laws and safety protocols.

2.5 Indemnification – Participant agrees to indemnify and hold BHPP harmless from all claims, liabilities, losses, or damages arising out of the use or misuse of any purchased material.

3. PAYMENT, SHIPPING & CHARGEBACK POLICY

3.1 All Sales Final – Refunds may be considered for defective or misdelivered products in compliance with Florida consumer protection laws.

3.2 Chargebacks Prohibited – Participant irrevocably waives any right to dispute charges via chargeback. If a chargeback is attempted:

• Participants agree to reimburse BHPP for all related costs, including legal and administrative fees.
• Interest shall accrue on all unpaid balances at the highest legal rate per Florida Statutes Chapter 559.
• Participants shall be liable for all collection and enforcement costs.

3.3 Payment Methods – Accepted forms include Zelle, Bitcoin and Venmo. All orders must be prepaid in full.

3.4 Shipping Estimates – Direct ship orders take 5–7 days to process and 14–21 days until delivery, upon receipt of payment. Group Buy orders ship once MOQ is met and testing (if applicable) is complete. All shipping times are estimated and not guaranteed.

4. PARTICIPANT DUTIES

Participants shall:

• Submit payment in accordance with deadlines.
• Provide accurate and complete shipping information.
• Comply with all applicable laws and regulations.
• Handle and store materials according to recognized safety standards.

BHPP reserves the right to terminate participation for any individual who violates the terms of this Agreement.

5. PRIVACY POLICY

Only essential information is collected to process transactions. BHPP does not share data with third parties except as required for fulfillment. Data deletion requests will be honored post-transaction.

6. TERMINATION CLAUSE

BHPP may suspend or permanently revoke purchasing privileges for any reason, including but not limited to violation of group rules, payment issues, or conduct deemed harmful to the integrity of the program.

7. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida and applicable federal law. Any disputes shall be resolved in the courts of Palm Beach County, Florida, where BHPP is headquartered.

8. ENTIRE AGREEMENT

This Agreement, including Appendix A, represents the entire understanding between the parties and supersedes all prior or contemporaneous discussions, representations, or agreements. By purchasing, the Participant certifies that they are conducting legitimate research, will use all materials lawfully and ethically, and accept all terms as legally binding.
